1. Agreement and eligibility
- You must be at least 16 years old and legally able to enter into this agreement where you live. If you use SodaClip on behalf of an organization, you confirm that you are authorized to do so, and these terms also bind that organization.
- These terms apply to the SodaClip desktop app, its account and credit service, and related websites, and should be read together with the Privacy Policy, which explains how we handle personal information.
2. The service and early release
SodaClip is a macOS desktop video editing app. The current version is for Macs with Apple silicon and requires macOS 13 or later. You can start with one video or multiple source files, describe a goal to Soda Agent, find and organize relevant material, and keep refining it through conversation. Some features rely on cloud services provided by us and on third-party model services. How data is handled is described in the Privacy Policy.
SodaClip is in its first release. Features, interface, available models and credit rules may change between versions. Features marked as experimental (such as the publishing center) may be unstable or removed. We do not commit to any particular availability or response time.
3. Accounts
- Hosted features require an account created with an email sign-in code. You must use a valid email address that you can receive mail at.
- You are responsible for keeping your devices and email secure, and for activity under your account. Tell us promptly if you notice unauthorized use.
- A person or organization may not create multiple accounts to obtain additional free credit.
4. Free credit
- The current sign-up grant is USD 5 per account, once, with up to 100 grants across the service per UTC calendar day, for hosted requests. After the daily limit is reached, registration still succeeds, but the grant is not issued and is not automatically added the next day. Check the balance shown in your account. A payment method is not required for the grant.
- Paid purchases and top-ups are not offered in the first release. When free credit runs out, hosted requests stop working; Soda Agent can use a model service you connect yourself instead.
- Free credit has no cash value and cannot be redeemed, refunded, transferred or combined between accounts.
- We may change the amount, validity period and scope of free credit. Credit already granted follows the rules in effect when it was granted, unless stated otherwise.
- A failed request whose actual cost cannot be confirmed does not use credit; a failed request with a confirmed actual cost is charged at that cost. Requests whose model output comes back in an invalid format do not use credit up to a daily limit; beyond that limit they are charged as usual.
- Credit obtained or used improperly may be withdrawn.
5. Software license
- As long as you comply with these terms, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use SodaClip on Macs you own or control.
- Except where applicable law expressly allows it, or where the license of a bundled open-source component provides otherwise (for example, the LGPL that applies to FFmpeg allows you to modify that library and relink it), you may not reverse engineer, decompile or disassemble SodaClip, remove copyright or license notices, or rent, sell or redistribute SodaClip.
- Third-party components are covered by their own licenses, listed under Third-Party Licenses. These terms do not limit your rights under those licenses.
6. Acceptable use
- You must own the rights to the material you upload and process, or have permission from the rights holder, including for the likeness and voice of people who appear in it.
- You may not use SodaClip to create, process or distribute unlawful content, including content that infringes others’ intellectual property, privacy or reputation.
- You may not disrupt the service, bypass credit, rate-limit or authentication controls, access the service through unauthorized automation, or resell it.
- We may suspend or close accounts that break these rules.
7. Ownership of content
- Your source material and the shorts you make with SodaClip belong to you or to the original rights holders.
- You permit us and our service providers to process your content only as needed to provide the service, including sending it to cloud model services as described in the Privacy Policy. We claim no rights in your shorts.
- The SodaClip software, name, icon and other brand elements belong to us.
8. Generated content
Topics, captions, titles, cover text and edit plans are produced by models and may contain mistakes. Review them before posting. You are responsible for what you publish.
9. Third-party services
- The model services used by hosted features, model services you connect yourself, publishing platforms and model download sites are provided by third parties under their own terms and policies. We are not responsible for their availability, content or conduct.
- When you connect a model service yourself, you must follow its terms and you pay its charges. Those requests are not metered by us and do not use free credit.
- When you use the publishing center, you must follow the target platform’s rules and you are responsible for what is posted from your platform account.
10. Software updates
The app checks for updates regularly, and updates are downloaded and installed only after you confirm. Where needed for security or compatibility, we may set a minimum supported version; older versions will ask you to update and may not let you continue editing or start new tasks until you do.
11. Copyright complaints
If you believe content made available through the SodaClip service infringes your copyright or other rights, email contact@pattinghead.com with: your identity and contact details; a description of the work; a description and location of the allegedly infringing content; a statement that you believe in good faith the use is not authorized; and a statement that the information is accurate and that you are the rights holder or authorized to act for them.
Source material and shorts are stored on users’ own Macs, and we cannot delete files on a user’s device. After verification, we may suspend or close the account involved. For content on our own website, we will remove or replace it after verification.
12. Disclaimer
SodaClip is provided “as is” and “as available”. To the extent permitted by applicable law, we make no express or implied warranty that the service will be uninterrupted or error-free, or of merchantability or fitness for a particular purpose. Keep your own backups of source material and finished shorts.
13. Limitation of liability
- To the extent permitted by applicable law, we are not liable for indirect, incidental, special or punitive damages, lost profits or lost data.
- To the extent permitted by applicable law, our total liability for the service is limited to the greater of: the amount you actually paid us in the twelve months before the event giving rise to the claim; or USD 50.
- These limits do not apply to losses caused by our intentional misconduct or gross negligence, or to liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence and for fraud or fraudulent misrepresentation.
14. Indemnity
If a third party brings a claim against us because you breached these terms, or because content you provided or published infringes a third party’s rights, you will compensate us for our reasonable resulting losses and costs, to the extent caused by your fault. We will notify you of the claim promptly and let you take part in the defense. This section does not make you responsible for our own fault.
15. Changes, suspension and termination
- We may change, suspend or discontinue all or part of the service. Before discontinuing hosted features, we will give reasonable advance notice in the app or on the website, except in urgent security situations.
- You may stop using SodaClip at any time and ask for your account to be deleted, as described in the Privacy Policy.
- We may suspend or close your account for serious or repeated breaches of these terms.
- When an account is closed or deleted, unused free credit lapses without refund or compensation. Terms that by their nature should survive (including ownership of content, the disclaimer, limitation of liability, indemnity and governing law) continue to apply. Source material and shorts on your Mac are not affected.
16. Export controls and sanctions
You must comply with applicable export control and economic sanctions laws. You confirm that you are not located in a country or region where providing the service is prohibited by applicable sanctions laws, that you are not on a relevant restricted-party list, and that you will not use SodaClip for purposes those laws prohibit.
17. Changes to these terms
We may update these terms. Updates are posted on this page with a new date at the top, and significant changes will be announced in the app. Continuing to use the service after changes take effect means you accept the updated terms. If you do not agree, you may stop using SodaClip and ask for your account to be deleted.
18. Governing law and disputes
- These terms, and any dispute or claim arising out of or in connection with them or the service (including non-contractual disputes or claims), are governed by the laws of England and Wales.
- The courts of England and Wales have jurisdiction over any such dispute or claim.
- If you are a consumer, you keep the benefit of any mandatory protections of the law of the country where you live, and nothing in these terms takes those protections away. Where the law allows, you may also bring proceedings in the courts of the country where you live; for example, if you live in Scotland you may bring proceedings in Scotland, and if you live in Northern Ireland you may bring proceedings in Northern Ireland. Consumers in the European Union may likewise bring proceedings in the courts of their country of residence.
- Before starting proceedings, please contact us so that the parties can try to resolve the matter informally.
19. General
- These terms and the Privacy Policy are the entire agreement between you and us about the service.
- If any provision is found invalid or unenforceable, the rest remain in effect, and that provision applies to the maximum extent enforceable.
- A failure or delay by us in exercising a right is not a waiver of that right.
- You may not assign your rights or obligations under these terms without our written consent. We may assign these terms in connection with a merger, acquisition or transfer of assets, and will notify you.
- Nothing in these terms limits rights you have under applicable law that cannot be excluded by agreement.
